Hi, I’m Vanja Habekovic

Vanja Habekovic’s practice encompasses a wide variety of tax matters for businesses and individuals including partnership, corporate and individual taxation issues, international tax planning, entity formation, and mergers and acquisitions.  Vanja has represented clients in the real estate, entertainment, and healthcare industries.

Vanja structures transactions to optimize tax results, including tax-deferred Section 1031 real property exchanges.  She drafts and negotiates partnership and limited liability company operating agreements, and other contracts relating to the formation, sale, merger, acquisition, and liquidation of companies.  Vanja also handles executive compensation matters, including non-qualified deferred compensation plan and stock option plan drafting and advising.  Vanja advises tax-exempt organizations, such as hospitals and private foundations, on issues relating to foundation excise taxes, unrelated business taxable income, and executive compensation.  Her practice extends to federal, state, and local tax controversy matters.

Prior to joining ECJ, Vanja was a tax associate at Skadden, Arps, Slate, Meagher and Flom LLP, where she was part of the team that represented Disney in its acquisition of Pixar.

Vanja earned her Juris Doctor degree from Stanford Law School.  She is a graduate of the University of Michigan, Ann Arbor, where she received her Bachelor of Arts degree in Economics with high distinction.

Representative Matters:

Overturned a $5.5 million tax assessment by the City of Beverly Hills for a surgery center client.

Negotiated tax and executive compensation issues on behalf of a technology company in a tax-free merger.

Assisted a land developer in saving approximately $11 million in tax expense by converting ordinary income into capital gain and deferring the tax on a condominium building project.

Structured a gift of appreciated real property to avoid a California property tax reassessment.

Counseled a foreign citizen on structuring a $25 million real estate investment in the U.S. minimizing his U.S. income and estate tax exposure.

Ms. Habekovic has been selected for inclusion in 2013 and 2014 Southern California Rising Stars.
